to launch

This Software Agreement ("Agreement") is made on this date between Massimo Group ("Company") and the Signee ("Customer").

1. Single-Use License. The Company grants the Customer a non-exclusive, non-transferable license to use the Company's CRE Launcher software ("Software") for a 30-day period, renewing monthly.
2. Launch Allowance. During the first 30-day period, the Customer may use the CRE Launcher platform to promote up to ten (10) opportunities. Unlimited launches are unlocked after the first 30 days.
3. Additional Requirements. The Customer understands and agrees that additional charges may be required for A2P/10DLC registration, a business domain, DNS configuration, and an EIN to fully activate SMS campaigns. Monthly subscription fees are subject to change.
4. Usage Fees. The Customer understands and agrees that usage fees apply and will be charged directly to the Customer. These fees are currently set as follows and are subject to change: outbound phone calls $0.042/min; inbound phone calls $0.025/min; text messages $0.024 each; emails $0.002 each sent; email verification $0.007 each verified; AI workflow $0.09 per automated message; Conversation AI $0.06 per automated message.
5. Termination. Either the Company or the Customer may terminate this Agreement at any time. Customers must submit the exit survey form at least 24 hours before their next billing cycle to avoid being charged for that cycle.
6. Refunds. All payments are final and no refunds will be made at any time during this Agreement. This does not limit the Customer's rights under the 30-Day Activation Guarantee, which provides a free additional month rather than a refund.
7. Confidentiality. Each party agrees not to use or disclose the other party's confidential information, including but not limited to the Company's Software, its features and functionality, campaign structuring, campaign messaging, and the Customer's client list. This obligation survives termination of this Agreement.
8. Indemnification. The Customer shall defend, indemnify, and hold the Company harmless from any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorney fees) arising from the Customer's use of the Software.
9. Waiver of Claims. The Customer waives any right to assert any claim against the Company in connection with the Customer's use of the Software.
10. Evolving Technology. The Customer acknowledges that the Software leverages artificial intelligence technology which is constantly evolving, and that elements of it are outside the Company's control.
11. Disclaimers. The Software is provided "as is" without warranty of any kind. The Company disclaims all warranties expressed or implied, including merchantability, fitness for a particular purpose, and non-infringement.
12. Dispute Resolution. Any dispute arising out of or relating to this Agreement shall be resolved exclusively by binding arbitration in North Carolina under the rules of the American Arbitration Association. The arbitrator's award shall be final and binding on both parties.
13. Governing Law. This Agreement shall be governed by the laws of the State of North Carolina.
14. Entire Agreement. This Agreement constitutes the entire understanding between the parties related to its subject matter, and supersedes all prior or contemporaneous agreements, oral or written, between the parties relating to that subject matter.
